EVERLEGAL acted as a legal partner for VisionFund International in a project aimed at entering the Ukrainian non-banking financial services market through its subsidiary microfinance institution, VisionFund Ukraine.
The project involved comprehensive support for the establishment of the "VISIONFUND UKRAINE" LLC and obtaining a financial company license.
EVERLEGAL scope of work:
Team prepared all necessary corporate documents for the company’s registration, including increasing the share capital to meet the prudential requirements set by the regulator. The team also prepared the full package of documents required to obtain a financial company license for providing financial services, such as granting loans and banking metals, along with a request to approve the use of the name "VISIONFUND UKRAINE," which includes the derivative "UKRAINE."
During the licensing process, EVERLEGAL lawyers quickly adapted to changes in national legislation, as the National Bank of Ukraine approved new regulatory acts governing the licensing procedure. Furthermore, the team justified the preparation and submission of necessary documents to the regulator, considering the unique legal framework governing corporations in the state of California, USA.
Additionally, EVERLEGAL provided the client with advice on employment agreements for the new legal entity’s staff, obtaining work permits for foreign employees, tax matters, and trademark registration in Ukraine.
The firm's Antitrust and Competition Law practice, led by Managing Partner Yevheniy Deyneko and Junior Associate Vladyslav Shulkin, prepared the necessary documents and obtained preliminary approvals from the Antimonopoly Committee of Ukraine.
The uniqueness of the project lies in the fact that, due to strengthened legislative and prudential requirements, approximately 70 financial companies exited the market in 2024, with only three companies successfully obtaining licenses—one of which is "VISIONFUND UKRAINE."
