INTEGRITES assists UAID Fund in financing the reconstruction of a destroyed shopping mall in Irpin

INTEGRITES supported UAID Fund, US-based private investor focused on rebuilding Ukraine's middle-market commercial and residential real estate, within the transaction on the provision of a cross-border financing for the reconstruction of the Giraffe Mall in Irpin, Kyiv Region.

The firm provided UAID Fund with the comprehensive legal advice which covered various real estate, commercial, tax, banking and finance law issues. In particular, the team conducted due diligence of the target and its real estate assets, assisted with reviewing the lease documentation, structuring the deal, drafting finance documents and the closing. They also advised on the currency control issues and facilitated negotiations between the parties, as well as with the local servicing bank.

The Giraffe Mall was one of the first targets of the Russian troops during their attempt to occupy Ukraine’s capital, Kyiv, in February – March 2022. It was the scene of the battle which was ultimately fought back by the Ukrainian forces and later followed by the deoccupation of the capital region, including towns of Irpin and Bucha.

The 6,500 m² two-storeyed Giraffe Mall is scheduled for re-opening in autumn 2024. The recommissioned retail center is expected to generate around 170 permanent jobs.

Led by the managing partner of INTEGRITES, Dr. Oleksiy Feliv, the team working on the project included senior partner Illya Tkachuk, partner Viktoriya Fomenko, counsel Olena Savchuk, senior associates Yuriy Korchev, Tetiana Storozhuk, Vitalii Labadin and Serhii Datsiv, associate Sofia Movchanets, and paralegal Artem Suchenko.
